Legal and Organizational Structure Statement
Apex Response Solutions, LLC and Apex Response Foundation are separate but mission-aligned organizations working together to advance public safety education, professional training, research, and community preparedness.
Together, these organizations support the development and delivery of multidisciplinary public safety programs and the long-term creation of a regional public safety training complex. Although the organizations share complementary goals, each maintains its own legal identity, governance, financial records, responsibilities, and decision-making authority.
Organizational Structure
Apex Response Solutions, LLC
Apex Response Solutions, LLC is the for-profit operating company responsible for professional training, consulting, program development, curriculum licensing, contracted services, and other commercial activities.
Its responsibilities may include:
Developing and delivering multidisciplinary training programs;
Contracting with public safety agencies, educational institutions, governmental entities, businesses, and community organizations;
Employing or contracting qualified instructors, facilitators, actors, consultants, and support personnel;
Managing program operations, scheduling, logistics, technology, and quality assurance;
Developing new curricula, services, and professional resources;
Supporting regional and national expansion; and
Providing operational or contracted services at the future public safety complex.
Revenue generated by Apex Response Solutions, LLC supports its business operations, personnel, program development, equipment, technology, and continued expansion.
Apex Response Foundation
Apex Response Foundation is a separately governed Colorado nonprofit corporation established to advance charitable and educational public safety purposes. The Foundation’s intended federal recognition as a tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code remains subject to completion of the applicable application and approval process.
The Foundation’s responsibilities may include:
Seeking grants, charitable contributions, sponsorships, and other philanthropic support;
Providing scholarships and financial assistance for agencies, organizations, students, and individuals with limited resources;
Supporting research, public education, community outreach, and workforce-development initiatives;
Funding or supporting qualifying public safety programs and educational opportunities;
Developing and supporting a regional public safety training complex for charitable and educational use; and
Expanding access to facilities, equipment, and training that may otherwise be unavailable to rural, underserved, or underfunded communities.
Until federal tax-exempt recognition is received, the Foundation will not represent that contributions are tax-deductible unless they are received through another legally authorized arrangement.
Public Safety Complex
A central long-term objective of this organizational model is the development of a comprehensive public safety training complex serving law enforcement, fire and rescue services, emergency medical services, emergency communications personnel, schools, behavioral health professionals, community organizations, and other qualified users.
The proposed complex may include:
Academy and administrative facilities;
Classrooms and conference spaces;
Emergency-vehicle operations and driver-training areas;
Firearms and tactical-training facilities;
Scenario-based training buildings and a simulated community environment;
Arrest-control, defensive-tactics, and physical-training areas;
Emergency-response and technical-skills training spaces;
Research, evaluation, and curriculum-development capabilities; and
Supporting infrastructure, storage, lodging, dining, parking, and renewable-energy systems developed as funding and operational needs permit.
The Foundation may seek grants, donations, and public or private support for charitable and educational portions of the complex. Apex Response Solutions, LLC may provide training, management, consulting, maintenance, or other authorized services through written agreements that clearly identify each organization’s responsibilities.
Any shared use of property, personnel, equipment, intellectual property, or administrative services will be governed by written agreements using reasonable and supportable terms. Transactions between the organizations will be reviewed to protect the Foundation’s charitable assets, prevent improper private benefit, and maintain appropriate financial and operational separation.
Purpose of the Coordinated Structure
This coordinated model is intended to balance long-term sustainability with meaningful public access.
Through this structure:
The LLC can conduct commercial operations, enter professional-service contracts, develop programs, and respond efficiently to market and agency needs.
The Foundation can pursue charitable funding and support projects that serve an educational or community benefit.
Scholarships and financial assistance can help reduce cost barriers for qualified participants and under-resourced agencies.
The future complex can support both mission-driven programming and sustainable facility operations.
Each organization can contribute to public safety innovation while remaining accountable for its own activities and finances.
Financial assistance will be awarded according to available resources, written eligibility standards, and the Foundation’s charitable purposes. While the organizations intend to expand access wherever reasonably possible, assistance cannot be guaranteed in every circumstance.
Transparency and Accountability
Apex Response Solutions, LLC and Apex Response Foundation are committed to responsible governance, accurate financial reporting, and transparent relationships.
Accordingly:
Each organization will maintain separate governing documents, financial accounts, records, contracts, and tax filings.
Foundation funds and assets will be used exclusively for authorized charitable and educational purposes.
Restricted grants and donations will be used in accordance with applicable donor restrictions and grant requirements.
Any compensation paid by the Foundation will be reasonable, properly approved, and supported by documented services.
Conflicts of interest involving directors, officers, employees, contractors, or related organizations will be disclosed and handled under applicable policies.
The Foundation will not be operated for the private benefit of the LLC, its owners, Foundation directors, or other private individuals.
Agreements between the organizations will be documented and structured to protect charitable resources and comply with applicable federal, state, and local requirements.
Commitment to Quality
The organization providing a particular course or service will be clearly identified in the applicable agreement, registration materials, invoice, or program documentation.
Regardless of which entity provides or supports a program, Apex is committed to consistent professional standards, evidence-informed instruction, qualified personnel, meaningful evaluation, and compliance with applicable legal, contractual, accreditation, and training requirements.
The coordinated structure does not reduce the quality or accountability of the services provided. Instead, it allows each organization to contribute through the legal and operational framework best suited to its role.
Statement of Intent
Through Apex Response Solutions, LLC and Apex Response Foundation, we are committed to building a lasting public safety resource that strengthens training, preparedness, collaboration, and community resilience.
Our goal is not simply to construct a training facility. It is to create a regional public safety complex where professionals and community partners can learn together, test new approaches, strengthen multidisciplinary relationships, and prepare for the real-world challenges facing the communities they serve.
This work will be carried out without compromising legal compliance, financial accountability, organizational independence, professional quality, or the public-service mission shared by both organizations.
